RUSAPE – Brobondo (Pvt) Ltd has denied allegations made by former Norton legislator Temba Mliswa that their Muungwe Royal Estate project in Rusape is a “fraudulent transaction”.
Mliswa claimed that the subdivision permit granted by the Ministry of Local Government and Public Works is a product of fraud and that Brobondo misrepresented his resignation from Muungwe Investments (Pvt) Ltd.
The former Zanu PF Provincial Chairman added that he had since notified the Zimbabwe Anti-Corruption Commission (ZACC) about the alleged fraud.
“In a move which smacks of fraud, a development permit was obtained from the Ministry of Local Government wherein a Form CR6, purportedly filed by JSM Consulting (Eastlea) indicating my resignation as Director from Muungwe was submitted. This is false, I have never resigned.
“Neither has a lawful AGM or EGM been held or called for to capture such alleged resignation. In fact, the whole debacle suspiciously points to criminal conduct and I have subsequently written to ZACC to institute an investigation,” Mliswa said.
Brobondo however told Nehanda Radio that Mr Mliswa is not a director of the company and that he ceased to be one in February 2021. They also said that the development agreement and the subdivision permit were duly authorized by the Company’s Board of Directors.
The company said Mliswa failed to furnish them with evidence that he is shareholder and director of the company. Against this background, Brobondo refused to show him a copy of their development agreement.
“It may interest you to learn that we are certainly not hearing of Mr Temba Peter Mliswa’s claims to shareholding and directorship of the Landowner for the first time through the publication made on the aforesaid X handle yesterday.
“He, through his lawyers, wrote to us sometime last year, introduced himself as a director and shareholder of the Landowner company and requested for a copy of our development agreement, the Company’s Board Resolution as well as all the relevant paperwork relating to the project.
“We refused to furnish him with the same because, as we specifically advised him, he had to satisfy us with evidence that he is a shareholder and director of the Company first as we cannot dish out confidential documentation to outsiders,” the company’s Chief Operating officer Kamilla Peters said in a statement.
Mliswa has recently approached the High Court of Zimbabwe under Case No HCHC42/24, but Brobondo says that this application is not against them for any alleged fraudulent conduct.
He seeks in that application an order for protection of a minority shareholder on the ground that he is a minority shareholder of the Landowner company and the majority shareholder, Mr DNE Mutasa is excluding him from the business of the Company.
While acknowledging that his uncle, Didymus Mutasa, is the major shareholder of the property, Mliswa claimed that Mutasa “has been duped by land barons” and vowed to expose their “evil schemes.”
He urged the public to “stand guided against buying these stands until either the lawsuit is concluded or the development and sale of stands is regularised, as you may end up losing your hard earned money.”
Brobondo said that the company itself and Mr DNE Mutasa have both opposed Mr Mliswa’s application denying that he is either a shareholder or current director of the Company.
Brobondo also said that they are in receipt of the relevant resolutions authorizing the development, appointing them as developers and authorizing the sale of stands.
They advised that the agreements of sale are valid and subsisting and that people should continue to honor their obligations according to its terms.
Mliswa is expected to address what he called an “explosive” press conference on Tuesday.
The address is dubbed “EXPOSING LAND BARONS, fraudulent Brobondo (Pvt) Ltd/ Muungwe Investments (Pvt) Ltd, Rusape property development transaction.”
